Bernitsas advised Vivartia Holding SMSA (Vivartia) on the signing of a definitive agreement to sell 100% of the shares in Evergood, Vivartia group's foodservice business, to Canadian Recipe Unlimited Corporation.
Evergood owns Greece's best-known food brands, including Goody's Burger House, Everest, Flocafé Espresso Room and La Pasteria, as well as Jackaroo, Krispy by Jackaroo and La Jacka. Recipe is Canada's largest full-service restaurant company and has more than 100 years of experience in foodservice.
Bernitsas advised Vivartia throughout the transaction. The team's work covered vendor legal due diligence, the preparation and negotiation of the share purchase agreement and ancillary transaction documents. The transaction remains subject to customary approvals and conditions.
